Terms of Service

The agreement

These terms govern access to Zivara BusinessOS. Where your organisation has signed a separate master services agreement or order form with Zivara LLC, that agreement takes precedence over anything inconsistent here.

Accounts and access

Accounts are issued to named individuals and must not be shared. Your organisation's administrator is responsible for granting, reviewing and revoking access for their users.

You must tell us promptly if you believe an account has been compromised. We may suspend an account immediately where we reasonably believe it is being misused or presents a security risk.

Your data

The business data your organisation puts into the platform remains yours. We process it to provide the service and for no other purpose.

You are responsible for the accuracy and lawfulness of the data you upload, including any personal data of your own employees or customers.

Service levels

Support response and resolution targets are defined in your subscription or managed services agreement, and are measured against the working calendar configured for your organisation.

Targets apply to the support service. They are not a guarantee of platform uptime, which is addressed separately in your agreement where applicable.

Acceptable use

Do not attempt to access data belonging to another organisation, probe or bypass the platform's access controls, or use the service to store unlawful material.

Automated access is permitted only through interfaces we provide, and subject to any documented rate limits.

Suspension and termination

Either party may terminate in line with the notice period in the applicable agreement. On termination you may export your data for the period stated in that agreement, after which it is deleted.

We may suspend access for non-payment or for a serious breach of these terms, having given notice where it is reasonable to do so.

Liability

Nothing in these terms limits liability that cannot lawfully be limited. Subject to that, liability is limited as set out in your master services agreement.

The platform provides visibility and control over your operations. It does not constitute financial, legal or tax advice, and decisions taken using it remain yours.

Governing law

These terms are governed by the laws of the United Arab Emirates, subject to any different governing law agreed in your master services agreement.
